DEFINITIONS

Account – Account created by the Client on the Website for placing Orders of Products.

Agreement – Agreement between the Client and GLOWIST on the use of the Website, consisting of these Terms of Service and the Privacy Policy.

Client – An individual or business that places Orders of the Products on the Website for personal use or business purposes.

Company – (Referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to GLOWIST.

Order – Order placed by the Client for the purchase of the Products available on the Website.

GENERAL AGREEMENT

GLOWIST provides services for Clients to place Orders for the purchase of Products available on the Website to be made with individual personalized recommendations.

GLOWIST processes the Orders and organizes the delivery of Products to the Client according to these Terms of Service.

The following Terms of Service form part of the Agreement between GLOWIST and the Client, according to which the Parties govern their rights and obligations in connection with the purchase and sale of the Products. The Agreement and the Account of the Client is valid until complete fulfillment of obligations of the Parties.

ACCESS AND REGISTRATION

In order to access the Website and place Orders of Products, the Client may register an Account, indicating all necessary information as required on the Website. In case the indicated information on the Client is not verified, registration of Account may be rejected.

The Account may be created for both personal and business use.

GLOWIST reserves the right to reject and suspend the registered Account of the Client if the indicated information is incomplete or inaccurate.

The Client is solely responsible for the activity on their Account and use of the Website. The Client must notify GLOWIST immediately in case of any unauthorized access to the Account. GLOWIST is not liable for any loss or damage arising from the Client's failure to maintain Account security.

THE PRODUCTS

The Products are skincare products and cannot be used for human consumption. GLOWIST has taken all necessary steps to ensure that the design of the Products sold and, in particular, their type, smell, color, appearance, amount or size is not misleading to customers and does not pose any health risks.

GLOWIST does not allow misleading claims about the effectiveness and other characteristics of the Products, as well as complies with good manufacturing practices in the production of skincare Products.

The Products consist of ingredients included in cosmetics and are safe for human life, health and environment, which complies with applicable international laws.

GLOWIST reserves the right to modify, add, or remove any Products offered on the Website at any time without prior notice. The Client acknowledges and agrees that GLOWIST may make such changes at its sole discretion. GLOWIST is not liable to the Client for any changes made.

TERMS OF PAYMENT

GLOWIST reserves the right to adjust the prices of the Products and modify the assortment offered on the Website at its sole discretion, to market conditions and other objective factors. Any price or modifications shall be made in a reasonable manner, and GLOWIST shall not be liable for any resulting inconvenience or harm to the Client.

All prices are subject to value added tax (VAT) or other applicable sales taxes, if applicable.

Depending on the chosen delivery method and delivery address, a delivery fee may be applied to the Client's Order, which will be clearly indicated before the payment is confirmed and included in the total Order price. The price of the Product indicated on the Website at the time of placing the Order is the price applicable to the Order. The final price of the Products, including any applicable delivery or postage costs, will be indicated in the shopping cart before the conclusion of the relevant Product purchase contract.

The Client pays for the Products in accordance with the payment method chosen by the Client when placing the Order.

DELIVERY TERMS

After GLOWIST has received the payment for the Order, GLOWIST shall deliver the Product to the Client in accordance with the chosen delivery method of the Client's delivery address.

GLOWIST shall not be liable for any deliveries made due to the Client's human error, including but not limited to, incorrect or incomplete delivery address information. The Client shall be solely responsible for ensuring that the delivery address is accurate, precise and complete.

GLOWIST shall not be responsible for any damages, losses, or expenses arising from late or inaccurate deliveries or undelivered Products due to the Client's incorrect or incomplete delivery address. Any expenses that were incurred will be borne by the Client.

The estimated delivery time of the Product is specified in the Shipping policy available on the Website. The indicated delivery time is an estimate and GLOWIST shall not be liable for any delays or damages resulting from the delayed Product delivery.

GLOWIST may update the delivery time in case of its changes.

The Client shall be responsible for all costs associated with the delivery of Products to the Client. GLOWIST is not responsible for any additional costs or fees related to the Product delivery. The risk of loss of or damage to the Product shall pass to the Client upon delivery of the Product to the delivery address specified by the Client.

TERMS OF RETURN

Both parties to this Agreement acknowledge and agree that the nature of their business relationship is strictly commercial and that no consumer rights protection or regulation apply to their transactions.

In consideration of the personalized nature of the Products, GLOWIST will only accept returns of Products that have been deemed non-conforming with the terms of this Agreement. For avoidance of doubt, the following non-conformities shall be considered as non-compliant with the terms of this Agreement:

  • Product damage has been sustained upon delivery;
  • Wrong Product has been delivered;
  • Non-conformities related to the quality of the Product with Product description;
  • Other defects related to the manufacturing process.

The Client must notify GLOWIST of any defects or non-conformities within 14 days of delivery of the Products. GLOWIST will investigate the issue and may replace or refund the damaged Products, at their discretion. The Client must return the damaged Products to GLOWIST in the original, unused and unopened packaging, except for returns occurring due to the terms outlined above. Any return costs will be borne by the Client unless otherwise agreed.

OBLIGATIONS OF THE CLIENT

When accessing or using the Website, you must comply with the Terms of Service and the special warnings or instructions published on the Website regarding access or use. You must always act in good faith and in accordance with the law.

You may not make any changes or corrections to the Website, the content contained therein, nor may you in any way harm the operation of the Website or its content. Without limiting the generality of the foregoing, any action that is in breach of or in any way violates or negligently breaches its obligations under these Terms of Service, Client is liable for the loss and damage that such breach may cause to GLOWIST, subsidiaries, partners or licensors.

If the Client receives a request from the responsible authorities for the issue of a Product information file in relation to the ordered Product, the Client is obliged to immediately notify GLOWIST of the authorized person requesting the information.

By accepting these Terms of Service, the Client authorizes GLOWIST to perform the obligations of the responsible person within the meaning of applicable cosmetics regulations, including storage and presentation of the ordered Product information file at the request of the responsible authorities. Product information file is stored at the address of GLOWIST.

LIMITATION OF LIABILITY

In accordance with the applicable law, the Parties are in no way liable (by contract, tort (including negligence) or otherwise) for: a) business interruptions; b) damage to access to the Website; c) failure to supply; d) any damage or loss of any kind incurred in connection with the presence or use of or links to other websites on the Website; e) computer viruses, system crashes or failures that may occur in connection with the use of the Website, including loss or corruption of data or loss to any third party websites.

To the fullest extent permitted by applicable law, the Parties shall not be liable for any indirect, incidental damages (including lost profits) related to the Website or its use (or inability to use the Website) by you, regardless of the type of activity, contract, tort (including negligence) or otherwise, even if GLOWIST is informed on the possibility of such losses.

GLOWIST's total liability under these Terms of Service shall not exceed the purchase price of the Products.

The Client agrees that GLOWIST shall not be liable for any indirect, incidental, special, consequential, or exemplary damages arising out of or in connection with these Terms of Service, including loss of profits or revenue, business interruption or loss of business information, whether or not any other cause whatsoever.

The limitations and exclusions of liability set forth in this Section shall apply to the fullest extent permitted by applicable law and shall survive termination or expiration of these Terms of Service.

The Parties shall not be liable for delays or non-performance of obligations or other types of non-performance due to circumstances and obstacles that are beyond reasonable control, including but not limited to the occurrence of any event of force majeure, strikes, government orders, acts of war or national emergencies, terrorist threats or acts, environmental or climate anomalies, non-compliance by third parties, disruptions to the internet connection, and failures of electronic equipment and software. In the event of such force majeure, the Parties shall endeavour to remedy effects of the delay as soon as possible. In this case, the deadline for fulfillment of obligations is extended until the cause or effect of the delay is eliminated.

INTELLECTUAL PROPERTY AND COPYRIGHT CLAIMS

All information and content available on the Website, including, but not limited to, trademarks, logos, service marks, text, figurative marks, trade icons, images, sound clips, data collections and software, their aggregation and layout is the property of GLOWIST, its subsidiaries, shareholders, partners or licensors and is protected by the laws of the United States and other laws and regulations relating to the protection of intellectual property rights, including laws that regulate the use of copyright and trademarks. The use of GLOWIST's trademarks in any way, regardless of the purpose, is not permitted without the written permission of GLOWIST.

All content, correspondence of the Website, as well as marketing materials used to advertise the Website on third party resources are the property of GLOWIST. The use, distribution, reproduction or republishing of its content in whole or in part is prohibited without the written consent of GLOWIST, except for the following purposes:

You may make copies of the content on the Website or printing parts in accordance with reasonable personal use, which does not infringe GLOWIST's copyright or other intellectual property rights.

GLOWIST processes Personal Data in order to provide the Client with the Service and otherwise ensure fulfillment of the obligations set out in these Terms of Service.

By using the Service, the Client acknowledges and agrees that GLOWIST's collection, usage and disclosure of Client's personal information is governed by GLOWIST's Privacy Policy available on the Website.

DISPUTE RESOLUTION PROCEDURE

The Parties shall endeavour to settle all disputes by negotiation between them.

GLOWIST will respond to your application and inform you about the possible way of claim fulfillment or dispute resolution, or alternative way of claim fulfillment within 30 (thirty) days.

If the dispute cannot be resolved through negotiations, it shall be considered in accordance with the laws of the United States and the state where GLOWIST is registered.

Nothing in these Terms of Service shall be construed to create a partnership or other type of joint undertaking between the Client and GLOWIST. If any provision of these Terms of Service is unenforceable or invalid within the applicable law, is declared unenforceable or invalid, it shall not affect the validity or applicability of these Terms of Service in general, but instead these Terms of Service shall be amended to the extent permitted by applicable law to reflect as far as possible the original intention of the Parties.

SUSPENSION AND TERMINATION

GLOWIST reserves the right to suspend the Client Account and withhold any payments on the Website without prior written notification to the Client in the following cases:

  • The Client violates these Terms of Service;
  • Fraud, willful misconduct or gross negligence of Client is suspected, including but not limited to: diversion of Orders, engagement in illegal activities, violation of intellectual property rights of GLOWIST or third-parties;
  • Bankruptcy, insolvency, liquidation, administration or similar procedure of Client's business has occurred;
  • In other cases when in the opinion of GLOWIST the activities of Client on the Website may be harmful to the reputation, brand or business of GLOWIST.

GLOWIST shall notify Client in writing on the suspension of the Account and the reason for such suspension. The Client shall have a 30-day period to remedy the reason for Account suspension after receipt of notification.

In case no remedy is performed on behalf of the Client after the 30-day period, GLOWIST reserves its right to terminate the Client Account permanently.

The Client may terminate its Account by submitting a written request to GLOWIST through the Website or by contacting customer support.
